Banking and Financial Institutions:

Horgan, Rosen, Beckham & Coren, L.L.P., specializes in representing banks and other financial institutions. The firm handles matters arising under the Bankruptcy Code and related statutes, advising creditors, primarily institutional lenders, holding secured and unsecured positions, and advising clients in connection with work-outs and reorganizations. The firm is experienced in all aspects of such proceedings, both voluntary and involuntary, including litigation arising from such proceedings.

 

Corporate and Securities:

The firm's corporate and securities law practice involves a wide range of representation of corporate clients, including shareholder relations, the preparation of annual reports and other securities filings, stock option and other compensation plans, director and officer indemnity and liability issues, capital offerings (both debt and equity), and incorporations and reincorporations in various U.S. jurisdictions. The firm's lawyers have been involved in such complex corporate securities matters as foreign jurisdiction reincorporations, corporate spin-offs, proxy contests, and mandatory convertible debt and trust preferred securities offerings. The firm's securities practice includes the representation of underwriters and placement agents.

 

Commerical/Business Litigation:

The firm has a team of litigators who specialize in a wide range of commercial/business litigation, including complex banking related litigation, securities fraud, contract disputes, insurance coverage matters and real property claims. The firm's litigation attorneys have practiced extensively before state and federal trial and appellate courts and have handled complex multi-district litigation. They are also knowledgeable and experienced in practice before regulatory authorities, including the EEOC and similar state agencies.

 

Real Estate:

The firm is experienced in the major areas of real estate practice including land acquisition and financing, property development and lease negotiations. The firm has been involved in all aspects of joint venture financing, including the formation of limited and general partnerships. Members of the firm are well versed in the drafting and negotiation of commercial, retail and office leases as well as construction and other real estate loan documentation.

The firm handles issues arising from the construction of all types of projects, including the drafting of construction agreements, resolving disputes which arise during construction, and developing and resolving claims for additional compensation after the completion of a project in both court and arbitration proceedings.

As an adjunct to the firm's banking and litigation practices, the firm handles administrative matters, including regulatory enforcement proceedings, administrative hearings, and civil money enforcement negotiations.
